## Acceptance of These Terms
These Terms and Conditions ("Terms") govern your use of https://www.shoemakers-int.com (the "Site") and your communications with Shoemakers International ("Shoemakers International," "we," "us," or "our"), including by phone, email, and text message. By using the Site or contacting us, you agree to these Terms. If you do not agree, please do not use the Site.
## Our Services
Shoemakers International provides footwear development and manufacturing services, including design development, prototypes and samples, tech packs, private label production, and 3D printing. Information on the Site describes our services in general terms and may change without notice.
## Quotes and Agreements
- Quotes, estimates, timelines, and pricing given on the Site, by phone, by our AI receptionist, by text message, or by email are for information only and are not binding.
- A project becomes binding only when both parties sign a written agreement, purchase order, or invoice that sets out the scope, pricing, payment terms, and delivery terms.
- If a signed written agreement conflicts with these Terms, the written agreement controls for that project.
- Final pricing may depend on materials, quantities, design changes, and production details confirmed after review.
## SMS Terms
Program description: Shoemakers International sends text messages to customers and prospective customers who opt in. Messages may include replies to your inquiry, consultation booking links and reminders, appointment confirmations, project and order updates, and customer service follow-ups.
- Opt-in: You agree to receive text messages by giving us your mobile number and opting in, for example by checking an SMS consent box on a form, texting us first, or giving consent during a call. Consent is not a condition of purchase.
- Message frequency varies based on your inquiry and project.
- Message and data rates may apply.
- Opt-out: Reply STOP at any time to stop receiving messages. You will receive one final message confirming that you have been unsubscribed.
- Help: Reply HELP for help, or call us at (213) 418-1326.
- Carriers are not liable for delayed or undelivered messages.
- Privacy: Our Privacy Policy, available at https://www.shoemakers-int.com/privacy-policy, explains how we handle your information. Mobile information, including phone numbers and SMS opt-in consent, will not be shared with or sold to third parties or affiliates for marketing or promotional purposes.
## AI Receptionist
Calls to our business line may be answered by "Eva," an AI receptionist powered by Retell AI. Calls may be recorded and transcribed. Information provided by the AI receptionist is general and does not create a binding quote or agreement. See our Privacy Policy for details.
## Intellectual Property
The Site and its content, including text, images, graphics, logos, and layout, belong to Shoemakers International or its licensors and are protected by intellectual property laws. You may view and print Site content for your personal or internal business use only. You may not copy, reproduce, distribute, or create derivative works from Site content without our written permission.
## Client Designs
- You keep ownership of the designs, sketches, logos, and other materials you provide to us ("Client Designs").
- You give us permission to use Client Designs only as needed to review your request, prepare quotes, and develop and produce your products.
- We will treat Client Designs as confidential and will not use them for other clients or sell them.
- Ownership of new work we create, such as patterns, lasts, molds, tooling, and tech packs, is set out in your written agreement. If the agreement does not address it, ownership transfers to you only after full payment for that work.
- We may show finished products in our portfolio or marketing only with your permission.
## User Submissions
When you send us files, messages, or other materials through the Site or otherwise, you confirm that:
- You own the materials or have the right to share them with us.
- The materials do not infringe anyone else's intellectual property, privacy, or other rights.
- The materials do not contain viruses, malicious code, or unlawful content.
We may decline any project or submission at our discretion, including any request we believe may infringe the rights of others.
## Acceptable Use
You agree not to misuse the Site, including by trying to gain unauthorized access, interfering with its operation, submitting false information, sending spam, or using automated tools to collect data from the Site in a way that harms it.
## Disclaimers
The Site and its content are provided "as is" and "as available." To the fullest extent permitted by law, we make no warranties, express or implied, about the Site, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or free of harmful components. Warranties for products we manufacture, if any, are only those stated in your written agreement.
## Limitation of Liability
To the fullest extent permitted by law, Shoemakers International and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Site or these Terms. Our total liability for any claim relating to the Site or these Terms will not exceed one hundred US dollars (US $100). Liability for a specific project is governed by the written agreement for that project. Some jurisdictions do not allow certain limits, so some of these limits may not apply to you.
## Indemnity
You agree to defend, indemnify, and hold harmless Shoemakers International and its owners, employees, and partners from any claims, losses, damages, and expenses, including reasonable attorneys' fees, arising from your use of the Site, your submissions, your breach of these Terms, or your violation of any law or the rights of any third party.
## Third-Party Services and Links
The Site may link to or use third-party services, such as Calendly for scheduling. We are not responsible for third-party websites or services, and your use of them is governed by their own terms and privacy policies.
## Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.
## Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a new effective date. Your continued use of the Site after changes are posted means you accept the updated Terms.
